What is the Costa Rica Free Trade Zone Regime?

The Free Trade Zone Regime is a statutory incentive framework designed to attract investment, promote trade and create employment in Costa Rica. A company admitted to the regime receives a package of tax and customs benefits in exchange for operating within an approved category and maintaining the investment, employment, operational and reporting commitments contained in its grant and Operations Agreement.

The legal foundation is Law No. 7210, Free Trade Zone Regime Law, together with its reforms and regulations. PROCOMER administers the regime, reviews applications and supervises beneficiary compliance. Free Trade Zone status is not the same thing as incorporating a company.

The Costa Rican legal entity is the vehicle; FTZ admission is a separate regulatory regime layered on top of the operating company. Who can qualify for the Free Trade Zone Regime?

Both Costa Rican and foreign-owned companies can qualify. What matters is not nationality but whether the project, activity, location and commitments satisfy an eligible category under Law 7210.

This distinction matters because a business description that sounds generally attractive — “technology,” “consulting,” “finance,” “logistics” or “manufacturing” — is not enough by itself. PROCOMER evaluates the actual activity, its CAECR classification, the proposed operating model and the applicable category-specific requirements.

Main Free Trade Zone categories under Law 7210

PROCOMER’s current guide identifies the following common categories. Each has a different eligibility logic, and some have special location, investment or employment conditions.

f) Manufacturing Transformation of raw materials into finished or semi-finished products. Export level is not automatically required when the project meets the strategic-sector or outside-GMA route.
g) Human health services Specified medical and hospital projects. Must be located outside the GMA and has special investment and employment thresholds.
h) Agricultural, livestock and fishing suppliers Supply of qualifying inputs to manufacturing companies under category f). The supply relationship with qualifying FTZ manufacturers is central to the category.
i) Sustainable adventure parks Qualifying sustainable adventure-park developments. Must be outside the GMA, with special investment and employment requirements.
Activities that require special caution PROCOMER lists mining, hydrocarbon exploration or extraction, weapons activities, electricity generation other than self-consumption, banking, finance, insurance and professional services among the prohibited activities. Do not classify a project by its commercial label alone: certain shared-service functions can have a different regulatory analysis from a regulated banking, financial or professional-service activity.

Minimum investment: inside the GMA vs. outside the GMA

For the general categories covered by the statutory minimum-investment rule, location matters immediately. The baseline is a new initial investment backed by qualifying fixed assets and real estate. The company generally has up to three years from notification of the grant to meet the initial investment commitment, subject to the specific rules applicable to its category.

Important: these are general thresholds, not a universal answer for every category. Service companies have an IEES-specific investment variable, while human-health projects, sustainable adventure parks and manufacturing megaprojects have separate rules.

What counts as new investment?

PROCOMER’s guide states that qualifying assets generally must be owned by the applicant and acquired on or after the date the FTZ application is submitted. The framework can include qualifying movable fixed assets, real estate and improvements to owned or leased property. This timing rule is one of the reasons companies should not buy the entire asset package before the FTZ strategy is designed.

Outside-GMA projects have additional investment options.

Under the current PROCOMER guide, qualifying investment in public infrastructure or human capital may be used for part of the commitment for projects outside the GMA, subject to the statutory conditions and a maximum percentage of the committed amount. This should be designed before the commitment is written into the application.

Free Trade Zone tax incentives in Costa Rica

The regime provides multiple exemptions, but the most searched benefit — corporate income tax — is also the one most often oversimplified. The correct rate depends on the company category, location and period of operation.

  • Exemption on qualifying imports necessary for the authorized operation and administration of the company.
  • Exemption on qualifying local purchases of goods and services necessary for the authorized activity.
  • Exemption on exports.
  • A 10-year exemption relating to transfers of real estate and municipal licenses, subject to the applicable statutory conditions.
  • Exemption from remittance tax under the FTZ framework.
  • Specific tax-credit mechanisms for qualifying manufacturers that reinvest earnings in fixed assets or training expenses.

The table is a practical summary of the current PROCOMER guide. The Executive Agreement, project category, location, statutory reforms and any special project conditions control the actual treatment of a specific beneficiary.

The FTZ regime is not a social-security exemption.

There is no general FTZ exemption from Costa Rican CCSS payroll contributions. Employers remain subject to labor and social-security obligations, and service-company IEES variables specifically rely on compensation reported to the CCSS. Service companies: strategic activity and the IEES

Category c) is one of the most relevant routes for multinational service operations, shared-services structures and other qualifying service projects. It is also one of the easiest categories to misunderstand because a company does not qualify merely because it “exports services.”

PROCOMER’s current framework requires a service-company applicant to:

  1. Operate within a strategic service recognized for the regime.
  2. Make a qualifying new investment.
  3. Meet the applicable income-tax status requirement at admission.
  4. Comply with the Strategic Eligibility Index for Services Companies (IEES).

The IEES uses variables tied to the strategic nature of the activity, qualifying business linkages, annual compensation paid to qualified employees and new fixed-asset investment. PROCOMER states that the projected result must be 101 or higher.

Why the IEES should be modeled before filing

The IEES is not a marketing checklist. The compensation and investment variables become part of the project economics and are later verified through the annual reporting process. A service project should therefore model investment, headcount, compensation and strategic classification before the application is submitted.

Manufacturing projects and megaprojects

Manufacturing under category f) covers companies that transform raw materials into finished or semi-finished products. A minimum export percentage is not universally required for admission when the project is in a strategic sector or is established outside the GMA. PROCOMER also recognizes a supplier route for manufacturing companies that supply at least 40% of production to other qualifying FTZ companies.

For a regular manufacturing project inside the GMA, strategic-sector classification is particularly important. Outside the GMA, the regime is designed to provide additional territorial incentives, and strategic-sector status is not required in the same way for the general category-f admission route.

Manufacturing megaproject

A manufacturing project classified as a megaproject is subject to a minimum initial investment of USD 10 million in depreciable fixed assets and a minimum of 100 jobs on payroll from the start of productive operations. PROCOMER’s guide provides an extended period of up to eight years to meet the megaproject investment level.

Because the tax profile of a megaproject can differ materially from a regular manufacturing project, the category should be modeled at the project-design stage rather than treated as a label added after investment decisions have already been made.

How the PROCOMER application process works

PROCOMER currently states an average admission time of approximately three months. That is an average, not a guaranteed deadline. The quality of the initial application matters because the process includes a formal review and a limited opportunity to correct deficiencies.

  1. Classify the project before filing. Determine the correct Law 7210 category, location, park strategy, investment commitment, employment commitment and any strategic-sector or IEES requirements.
  2. Submit the online application in Spanish. The principal application routes are processed through Costa Rica’s Ventanilla Única de Inversión (VUI).
  3. Initial PROCOMER review. If the application is received in good order, PROCOMER assigns an analyst. The current guide states that the analyst performs the initial review within two business days.
  4. Correct observations if required. If the analyst rejects the filing at that stage, the applicant generally has one opportunity to amend within ten business days after notification.
  5. Substantive evaluation and COMEX decision. After PROCOMER completes its review, the application proceeds to the Ministry of Foreign Trade for the final decision.
  6. Executive Agreement. The admission agreement proceeds for the required government signatures.
  7. Guarantee deposit. PROCOMER instructs the company on the guarantee deposit, with a statutory minimum currently stated at USD 5,000.
  8. Operations Agreement. The beneficiary signs the Operations Agreement with PROCOMER, which becomes a central compliance document for the project.
  9. Publication and customs activation. The Executive Agreement is published in La Gaceta and the customs authorities complete the applicable admission steps and code.

The application should reflect the business you actually intend to operate.

Investment, employment, activity descriptions and operating location are not filler fields. They become commitments that PROCOMER can later verify.

What happens after FTZ approval?

Admission changes the company’s compliance profile immediately. The company is no longer simply a Costa Rican corporation with ordinary tax and labor obligations; it is also a beneficiary of a special regime with customs, investment, employment, operational and reporting controls.

Among the operational requirements identified by PROCOMER are:

  • Maintain books and records that properly identify transactions involving tax-exempt goods.
  • Comply with the investment and employment commitments in the Grant Agreement and Operations Agreement.
  • Maintain accounting and operational systems that control the entry, permanence and departure of goods where applicable.
  • Use the required customs documentation and electronic systems for regulated movements.
  • Maintain applicable environmental, health, urban and operating permits.
  • Maintain the required guarantee deposit in favor of PROCOMER.
  • Pay the applicable PROCOMER regime fee.

PROCOMER fee and guarantee

The current PROCOMER guide states that the guarantee must be maintained at a minimum of USD 5,000 or three times the applicable monthly PROCOMER fee, whichever rule applies under the current framework. The guide also states a minimum monthly fee of USD 200. Services, trading companies and park administrators are assessed based on income, while manufacturing companies use an industrial-area methodology.

Annual Operations Report and ongoing FTZ compliance

The Annual Operations Report is one of the most important recurring FTZ obligations. PROCOMER requires beneficiary companies to report compliance with the commitments made under the regime through the SIAN system, with the digital signature of the legal representative.

The report must be accepted within four months after the company’s fiscal year-end. For a company with a December 31 fiscal close, that means the ordinary deadline falls on April 30.

A practical compliance system should therefore track commitments from the day the application is drafted — not start four months after year-end when the Annual Operations Report is already due.

Can a Free Trade Zone company sell in Costa Rica?

Sometimes. The answer depends on the category. “Free Trade Zone” does not automatically mean the company is prohibited from selling in the Costa Rican market.

Local-market sales are a good example of why the category matters more than the generic phrase “FTZ company.” The customs procedure, tax effect and authorization path change depending on the approved activity.

Common FTZ mistakes that are expensive to fix later

1. Assuming every FTZ company pays 0% corporate income tax. Regular manufacturing inside the GMA is the clearest counterexample.

2. Buying the investment assets too early. Qualifying investment timing is tied to the application framework. Asset purchases made before the project is structured can create avoidable problems.

3. Treating “outside a park” as a simple real-estate choice. The minimum investment jumps significantly and the project must justify why its characteristics require that location.

4. Assuming a service exporter automatically qualifies. Category c) requires strategic-service classification and the IEES.

5. Drafting investment or employment commitments without an operating model. Those commitments are later tested through annual compliance.

6. Forgetting ordinary Costa Rican obligations. FTZ status does not eliminate corporate governance, beneficial-ownership, payroll, CCSS, labor, accounting or other applicable obligations.

7. Treating the Annual Operations Report as a year-end exercise. Compliance evidence should be built throughout the year.

8. Choosing the Costa Rican entity and legal-representation powers without the FTZ process in mind. The company, legal representative, digital-signature workflow and PROCOMER filings need to work together operationally.

When does the Free Trade Zone Regime make economic sense?

The regime is most compelling when the business has enough substance to justify the compliance architecture. A tax incentive is valuable only if the company can actually meet the commitments required to keep it.

  • Projects importing substantial machinery, equipment or operating inputs.
  • Long-term operations that can maintain a defined Costa Rica footprint.

Often needs a second look
  • Small local-only businesses with little fixed-asset investment.
  • Projects that cannot support the investment or employment commitments.
  • Activities that fall within statutory exclusions.
  • Companies seeking only a “tax residence” or paper presence without the real operation needed to support the regime.
  • Projects where the cost of park space, controls and compliance outweighs the expected incentives.

For foreign investors comparing the FTZ regime with an ordinary Costa Rican company, the right question is not “Which one pays less tax?” It is which structure matches the real operation, investment, workforce and market strategy.
